These Terms of Service (“Terms”) govern access to the Record Synergy platform and recordsynergy.com (collectively, the “Services”). By accessing or using the Services you accept these Terms. If you are accepting on behalf of a company, you represent that you have authority to bind it.
The Services
Record Synergy provides a multi-tenant, operational EMR for multi-location physical, occupational, and speech therapy groups, including scheduling, documentation, revenue-cycle management, missed-care detection, and AI patient engagement. Specific functionality available to a customer is set out in the order form or subscription plan.
Accounts
You are responsible for the security of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized access. We may suspend access where reasonably necessary to protect the Services or other customers.
Subscription, fees, and term
Subscription fees, term, and metering are described on your order form. Plans renew automatically for successive terms unless either party gives notice at least 30 days before the end of the then-current term. Fees are non-refundable except as expressly stated.
Customer data and ownership
As between the parties, you retain all rights in your data, including all patient health information processed in the platform. You grant us a limited license to host, process, transmit, and display your data solely to provide and improve the Services and to meet our legal obligations. We do not sell customer data or PHI.
HIPAA
Where Record Synergy acts as a Business Associate, the parties will execute a Business Associate Agreement (BAA) that controls in the event of conflict with these Terms with respect to PHI. See the HIPAA & Compliance page.
Acceptable use
You agree not to: (a) violate any law or third-party right; (b) attempt to interfere with, disrupt, or gain unauthorized access to the Services or any related systems; (c) use the Services to send unsolicited communications or content that you do not have rights to send; (d) reverse engineer or attempt to access the source code; (e) use the Services to develop a competing product.
Confidentiality
Each party will protect the other’s confidential information with at least reasonable care and use it only to perform under these Terms. Confidential information does not include information that is publicly available, was independently developed, or is required to be disclosed by law (subject to reasonable notice).
Warranties and disclaimers
We warrant that we will provide the Services in a professional and workmanlike manner consistent with industry standards. EXCEPT FOR THE EXPRESS WARRANTIES IN THESE TERMS, THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. RECORD SYNERGY IS NOT A MEDICAL DEVICE AND DOES NOT PROVIDE MEDICAL ADVICE; CLINICAL DECISIONS REMAIN THE RESPONSIBILITY OF LICENSED CLINICIANS.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUE, EVEN IF ADVISED OF THE POSSIBILITY. EACH PARTY’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY YOU IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Termination
Either party may terminate for the other party’s uncured material breach with 30 days’ written notice. Upon termination, your right to use the Services ends, and on request we will provide reasonable assistance to export your data per the BAA.
Governing law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. The parties consent to exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida.
Changes
We may update these Terms from time to time. Material changes will be communicated to customer admins by email and reflected by a new effective date above. Continued use after the effective date constitutes acceptance.
